Terms of Service
1. Who We Are and Acceptance
These Terms govern access to Wakti, operated by Wakti FZC LLC, a free-zone company licensed by Ajman NuVentures Centre Free Zone (ANCFZ), Office No. BC-892692, 26th Floor, Amber Gem Tower, Sheikh Khalifa Street, Ajman, United Arab Emirates. By selecting the acceptance control, you agree to these Terms. The Privacy Notice explains processing and is acknowledged separately; it is not blanket consent.
2. Eligibility and Authority
You must be at least 18 and have reached legal majority where you live. Wakti may be used for personal organization, independent professional work, sole-proprietor work, or on behalf of an organization. If you act for another person or organization, you confirm that you are authorized to bind them and administer the relevant workspace.
3. The Service
Wakti provides project, task, resource, time, expense, approval, invoicing, reporting, communication, integration, and related work-management features. Features and limits depend on the selected plan. Wakti is not legal, tax, accounting, employment, medical, or other regulated professional advice.
4. AI-Assisted Features
Wakti uses artificial intelligence, including OpenAI models, and may add other AI providers or models. AI may rank resource candidates, create suggestions, summarize, classify, or assist with content. Recommendations can be incomplete or wrong and must be reviewed by an authorized human. Wakti does not authorize an AI recommendation to make a final employment, allocation, financial, legal, or similarly consequential decision without meaningful human review.
5. Accounts and Workspaces
You must provide accurate information, protect credentials, use only accounts and workspaces you are authorized to access, and promptly report suspected compromise. Workspace owners control memberships, roles, content, and configured integrations. You are responsible for authorized-user activity and for lawful instructions given to Wakti.
6. Customer Data and Processing Terms
You retain rights in content submitted to Wakti and grant Wakti the limited rights needed to host, secure, process, transmit, back up, and display it to provide the Service. For personal data that a business customer places in a workspace, the customer is the controller and Wakti is its processor unless Wakti independently determines a purpose. Wakti processes that data on documented instructions, imposes confidentiality on authorized personnel, uses appropriate security measures, assists with data-subject and incident obligations, binds subprocessors to protective terms, and deletes or returns data at the end of service subject to legal retention and backup expiry. Customers authorize the subprocessors disclosed in the Privacy Notice and may contact help@wakti.app about a material change.
7. Acceptable Use
You must not use Wakti unlawfully; violate privacy, intellectual-property, confidentiality, export-control, sanctions, employment, or consumer laws; upload malware or prohibited content; probe or bypass security; access another tenant; scrape or overload the Service; misrepresent identity or authority; use AI output to make unlawful discriminatory decisions; or build a competing service through unauthorized extraction or reverse engineering except where law permits.
8. Plans, Billing, Taxes, and Cancellation
Paid plans are charged through Stripe according to the order or checkout terms and may renew until cancelled. You authorize applicable charges and must keep billing information current. Prices may exclude taxes. Plan changes, cancellation timing, trials, credits, and refunds follow the checkout terms and mandatory consumer law. Nothing in these Terms removes a non-waivable cancellation, refund, or other consumer right.
9. Third-Party Services
Wakti relies on and may connect to third-party services. Their availability and processing are governed by their own terms as well as Wakti's agreements with them. You decide whether to enable optional integrations and authorize the data exchange needed for them. Wakti is not responsible for a third party outside Wakti's reasonable control.
10. Intellectual Property and Feedback
Wakti and its licensors own the Service, software, designs, documentation, trademarks, and related rights. These Terms grant a limited, revocable, non-transferable right to use the Service during the subscription. Feedback may be used without restriction or payment, but Wakti will not identify you publicly without permission.
11. Security, Availability, and Changes
Wakti uses reasonable technical and organizational safeguards, but no service is completely secure or uninterrupted. Maintenance, provider outages, internet failures, and emergency work may affect availability. Wakti may change features where reasonably necessary and will give reasonable notice of a material reduction to paid functionality when practicable.
12. Suspension, Termination, and Data
You may stop using Wakti or cancel as provided in the Service. Wakti may suspend or terminate access for material breach, security risk, unlawful use, non-payment, or legal requirement, using notice where reasonably possible. Following termination, active data is deleted or returned according to the Privacy Notice and applicable customer instructions; backup copies expire through the stated backup cycle unless a legal hold applies.
13. Warranties and Liability
The Service is provided on an as-is and as-available basis to the extent law permits. Wakti excludes implied warranties that may lawfully be excluded. Wakti is not liable for indirect, incidental, special, exemplary, or consequential loss, lost profit, or lost opportunity. Wakti's aggregate liability arising from the Service will not exceed the greater of AED 500 or the fees paid for the affected Service during the 12 months before the event. These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability or consumer remedy that law does not allow to be limited.
14. Indemnity
To the extent permitted by law, an organizational customer will defend and indemnify Wakti against third-party claims resulting from that customer's unlawful content, instructions, use, or breach of these Terms. This does not require an individual consumer to indemnify Wakti where applicable law prohibits it.
15. Governing Law and Disputes
These Terms are governed by the laws of the United Arab Emirates. Subject to any mandatory consumer forum or other non-waivable right, disputes fall within the jurisdiction of the competent federal courts located in the Emirate of Ajman. The parties should first try in good faith to resolve a dispute by contacting help@wakti.app.
16. Changes, Notices, and Contact
Wakti may update these Terms. Material changes require a new explicit acceptance before continued interactive use; non-material changes may be notified in the Service or by email. Notices to Wakti must be sent to help@wakti.app or the registered address above. These Terms, the applicable order, and any expressly incorporated processing terms form the agreement; mandatory law prevails over conflicting wording.
